📄 Terms & Conditions – Sofa Club Resale Agreement
1. Agent Representation
Sofa Club acts as an independent sales agent on behalf of the seller. Ownership of the item remains
with the seller until sold, at which point transfer of ownership is facilitated by Sofa Club.
2. Success-Based Commission
A 10% success fee is deducted from the final selling price once the item is sold. This fee applies only
upon successful sale.
3. Refurbishment & Preparation Costs
All refurbishment, cleaning, repair, re-dye, or enhancement costs incurred by LeatherTech to
prepare the item for resale will be deducted from the final sale proceeds. These costs will be itemized in advance and may include:
Leather restoration or panel replacements
Cushion refilling or reshaping
Recliner mechanism servicing
Cleaning and colour enhancement
4. Marketing Fees
Where applicable, Sofa Club may run paid advertising campaigns
(e.g., Facebook Boosts) to promote the listing. A standard boost of R480 for 3 days is recommended. All marketing costs are deducted from the seller's payout upon sale.
5. Collection & Delivery
If collection or delivery is facilitated by LeatherTech’s logistics partner,
the following standard fees apply:
Collection: R650
These will be deducted from the seller’s final payout unless pre-paid.
6. Final Seller Payout
Once the item is sold, the final seller payout is calculated as follows:
Sale Price – Refurbishment Costs – Marketing Fees – Success Fee = Payout
Sofa Club commits to transferring the final payout to the seller’s nominated bank account within
7 working days of confirmed payment from the buyer.
7. Unsold Inventory Policy
If the item remains unsold for a prolonged period (typically beyond 7- 14 Days),
Sofa Club reserves the right to:

8. Cancellation Policy
If the seller cancels the agreement after refurbishment or marketing has been initiated, the
following becomes immediately payable by the seller:
All refurbishment costs incurred
Any marketing or logistical fees incurred
The standard 10% success fee, calculated on the originally agreed estimated market value
All dues must be settled before the item can be returned to the seller.
9. Ownership & Risk
Until sold, the item remains the property of the seller. However, Sofa Club and LeatherTech
are not liable for damage caused by force majeure or unforeseen events while in possession of the item
(e.g., fire, theft, flooding).
10. Dispute Resolution
Any disputes arising from this agreement shall be resolved amicably between the parties. Where needed, mediation will be sought before legal action.
